By accessing or using Capel's conveyancing platform ("Service"), you agree to be bound by these Terms of Service. If you are using the Service on behalf of a law firm or other organisation, you represent that you have authority to bind that organisation to these terms.
Capel provides an AI-powered conveyancing platform designed to assist Irish law firms with document review, compliance tracking, workflow automation, and client communication. The Service is a tool to support legal professionals, not a substitute for professional legal judgment.

You agree not to:
You retain ownership of all documents and data you upload to the Service ("Your Data"). You grant us a limited licence to process Your Data solely to provide the Service. We will handle Your Data in accordance with our Privacy Policy.
You are responsible for ensuring you have the right to upload any documents and that doing so complies with your professional obligations and client confidentiality requirements.
The Service uses artificial intelligence to analyse documents and provide suggestions. While we strive for accuracy, AI output should be reviewed by qualified legal professionals before reliance. Capel does not provide legal advice, and the Service is not a substitute for professional judgment.
You acknowledge that AI systems may produce errors and agree to verify all outputs before use in legal matters.
Fees are charged according to your selected plan. All fees are in Euros and exclude VAT where applicable. Payment is due monthly in advance. We may change pricing with 30 days' notice.
If payment fails, we may suspend access until the account is brought current. You remain responsible for fees incurred during any suspension.
The Service, including its AI models, software, design, and documentation, is owned by Capel and protected by intellectual property laws. Your use of the Service does not grant you ownership of any intellectual property.
We may use anonymised, aggregated data to improve our AI models and Service, but we will never use identifiable client data for this purpose without explicit consent.
THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE. WE DISCLAIM ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CAPEL'S LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE FEES PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM. WE SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
Nothing in these terms excludes liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.
You agree to indemnify and hold Capel harmless from any claims, damages, or expenses arising from your use of the Service, violation of these terms, or infringement of any third-party rights.
Either party may terminate this agreement with 30 days' written notice. We may terminate immediately if you breach these terms. Upon termination, your access will be revoked and Your Data will be available for export for 30 days, after which it will be deleted.
We may modify these terms at any time. We will provide notice of material changes via email or through the Service. Continued use after changes take effect constitutes acceptance of the new terms.
These terms are governed by the laws of Ireland. Any disputes shall be subject to the exclusive jurisdiction of the Irish courts. If any provision is found unenforceable, the remaining provisions will continue in effect.
